This Exclusive Beat Licensing Agreement ("Agreement") is entered into between Jay Pluss Publishing ("Licensor") and the purchasing party ("Licensee"). By purchasing the exclusive rights to the instrumental ("Beat"), Licensee agrees to the following terms and conditions:
Grant of Rights. Licensor hereby grants Licensee an exclusive, non-transferable license to use the Beat for commercial and non-commercial purposes including, but not limited to, recordings, performances, distribution, radio play, streaming, and synchronization in visual media.
License Fee. $300 USD total for the exclusive license.
Ownership. Licensor, Jay Pluss, retains full copyright ownership of the underlying Beat and composition. Licensee obtains exclusive usage rights but does not own the master or publishing rights unless otherwise agreed in writing.
Publishing. Licensee agrees to provide proper credit in all distributed formats as: Produced by Jay Pluss. All publishing rights shall be shared as follows unless otherwise negotiated: Licensee, 50% Writer's Share; Jay Pluss Publishing, 50% Publisher's Share.
Restrictions. No resell, sublicense, or standalone distribution of the Beat. No false production-credit claims.
Indemnification. Licensee agrees to indemnify and hold harmless Licensor from any and all claims, losses, liabilities, or damages arising from Licensee's use of the Beat.
Governing Law. This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
By purchasing, Licensee acknowledges that they have read, understood, and agreed to all terms outlined herein.
